Terms and Conditions

Parties

This Agreement is made between:

and the Client whose details are provided in the project proposal or contract.

Scope of Services

• Website design and development
• SEO (Search Engine Optimization)
• Digital business consultation
• Optional website maintenance (first month included free)

Timeline

Estimated project duration is approximately 1 month but depends on project complexity and Client’s timely cooperation. Delays caused by the Client may affect the timeline.

Payment Terms

• Total fee is fixed per project, detailed in the proposal.
• 50% deposit required before project start.
• Remaining 50% due upon completion and before final delivery.
• Payment methods accepted: Stripe (PayPal, Apple Pay, Google Pay, credit/debit cards), and bank transfers.
• Payment term: 14 calendar days from invoice date.
• Late payments incur 0.25% interest per day.
• Project delivery may be withheld until full payment is received.

Revisions

We work in agile iterations and keep refining the design until it feels right for the agreed scope, rather than limiting you to a fixed number of revision rounds. Significant changes to the agreed scope or direction may be quoted separately under mutual agreement.

Client Responsibilities

• Provide necessary content, feedback, and approvals promptly.
• Cooperate fully during the project.
• Failure to provide timely input may result in project delays or cancellation without refund of deposit.

Ownership & Credits

• Upon full payment, the Client obtains partial ownership rights of the delivered work.
• FluoSite retains the right to include a “Designed by FluoSite” credit in the website footer.
• FluoSite may publicly showcase the project in its portfolio and marketing materials.

Maintenance

The first month of maintenance after delivery is included free of charge, covering minor bug fixes, technical support, and small content/design adjustments. Maintenance beyond this period will be offered under a separate paid agreement.

Cancellation & Termination

• The Client may cancel at any time, but the deposit is non-refundable.
• FluoSite may terminate the contract if the Client breaches terms or causes unreasonable delays; in such cases, the deposit is forfeited.
• No refunds for completed work.
• Delay penalties or fines may be applied at FluoSite’s discretion for disruption of project schedule.

Liability

• FluoSite is not liable for failures or downtime of third-party services (e.g., hosting, domain registrars).
• FluoSite is not liable for security incidents or data loss outside its control.
• Indirect, consequential, or business loss damages are excluded.
• Services are provided “as-is” unless otherwise agreed in writing.

Governing Law & Jurisdiction

This Agreement is governed by Dutch law. All disputes will be resolved exclusively by courts in Amsterdam, Netherlands.
